Terms of Service

These Terms of Service (the "Agreement") govern your access to and use of the services provided by Inveon Digital Commerce Solutions Ltd ("Inveon"), a company incorporated in England and Wales. By (a) purchasing access to the Service, (b) signing up for a free or paid plan, or (c) clicking a box indicating acceptance, you agree to be bound by this Agreement.

If you are entering into this Agreement on behalf of a company, you represent that you have the authority to bind such entity. If you do not have such authority, or if you do not agree with these terms, you must not accept this Agreement.

1. The Service

1.1 Service Description

Inveon provides a cloud-based agentic artificial intelligence platform consisting of a "Back Office" management interface and deployable "Chatbot" agents for customer engagement, automation, and data processing (the "Service").

1.2 User Submissions and AI Outputs

Any data, files, or configurations the Customer uploads to the Service are "User Submissions." The responses or content generated by the AI agents based on these submissions are "Outputs." Subject to your compliance with this Agreement, Inveon hereby assigns to you all its right, title, and interest in and to Outputs. You acknowledge that Outputs are generated by AI and may not always be accurate; you are responsible for reviewing Outputs before use.

1.3 Inveon Ownership

Inveon retains all rights, title, and interest in the Service, including the underlying algorithms, software, "Back Office" architecture, and proprietary prompts (the "Inveon Materials"). No license is granted to the underlying code.

1.3.1 Inveon Materials

The Customer acknowledges that Inveon (or its licensors) owns all intellectual property rights in the Service and the Inveon Materials. This includes, but is not limited to:
• The Platform Infrastructure: The "Back Office" management interface, dashboard layouts, and administrative tools.
• Proprietary Software: All source code, object code, and underlying algorithms, including any custom-built wrappers for Large Language Models (LLMs).
• Agent Architecture: The specific logic, "chain-of-thought" structures, and workflow orchestrations that enable the Inveon agents to perform tasks.
• Proprietary Prompts: All system-level instructions, "persona" definitions, and "hidden" prompts developed by Inveon to tune agent behavior.
• Documentation: All user guides, demo videos, and API documentation provided to the Customer.

1.3.2 No Transfer of Rights

Except for the limited right to access and use the Service during the Subscription Period, nothing in this Agreement shall be construed as a transfer of any intellectual property rights from Inveon to the Customer.

1.3.3 Reservation of Code

The Service is offered as a Software-as-a-Service (SaaS). Under no circumstances will the Customer be entitled to receive a copy of the underlying code, scripts, or software that powers Inveon.ai. Any attempt to access the code via reverse engineering, decompilation, or unauthorized API calls is a material breach of this Agreement.

1.3.4 Development & Improvements

Inveon shall own all rights to any improvements, modifications, or derivative works of the Inveon Materials, even if such improvements were based on Customer feedback or specific requests.

1.3.5 Protection of Trade Secrets

The Customer acknowledges that the specific configuration of the agents and the "Back Office" workflows constitute trade secrets of Inveon. The Customer agrees not to disclose the internal workings of the Inveon agents to any third party, particularly competitors of Inveon.

2. Financial Terms & Automated Billing

2.1 Subscription and Usage Fees

Fees consist of (i) fixed Subscription Fees and (ii) variable Usage Fees (e.g., credit-based consumption for AI processing), as detailed in your chosen plan.

2.2 Payment Processor & Stripe Integration

Inveon uses Stripe as its third-party payment processor. By providing your credit card or payment information, you expressly authorize Inveon (via Stripe) to:
• Store your payment method details.
• Automatically charge your stored payment method for recurring Subscription Fees.
• Automatically charge your stored payment method for additional Usage Credits or top-ups as they are consumed by your active AI agents, without requiring further manual authorization or approval for each individual transaction.

2.3 Continuous Payment Authority

You acknowledge that for the Service to remain uninterrupted, the system must maintain a positive credit balance. You agree to maintain valid payment information in your account. Failure to process an automatic payment may result in immediate suspension of the AI agents' functionality.

3. Use Restrictions

The Customer shall not:
• Reverse engineer or attempt to extract the source code of the Inveon agents.
• Use the Service to generate "Deepfakes" or harmful content.
• Use the Service in any way that breaches the UK Data Protection Act 2018 or UK GDPR.
• Bypass any credit-counting mechanisms or usage limits.

4. Data Protection & Privacy

4.1 Data Processing

Both parties will comply with all applicable requirements of the Data Protection Legislation (including the UK GDPR and the Data Protection Act 2018). For the purposes of this Agreement, the Customer is the Data Controller and Inveon is the Data Processor.

4.2 Security

Inveon implements appropriate technical and organisational measures to protect Customer Data, as detailed in our Privacy Policy.

5. Limitation of Liability

IMPORTANT: YOUR ATTENTION IS PARTICULARLY DRAWN TO THIS CLAUSE.

5.1 Inveon shall not be liable for any indirect or consequential loss, loss of profit, or loss of data arising from AI "hallucinations" or inaccuracies in the Output.

5.2 Inveon's total liability shall not exceed the total Fees paid by the Customer in the twelve (12) months preceding the claim.

6. Term and Termination

6.1 Term

This Agreement continues for the duration of your Subscription Period and any subsequent renewals.

6.2 Cancellation

You may cancel your subscription via the Back Office settings. Cancellation stops future automated billing but does not entitle you to a refund for unused credits already purchased.

6.3 Effect of Termination

Upon termination, your access to the Back Office and all active Chatbots will be disabled. Inveon will delete Customer Data within 30 days, unless required by law to retain it.

7. Governing Law and Jurisdiction

This Agreement and any dispute or claim arising out of it shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute.

8. General Provisions

Publicity

Inveon may use the Customer's logo in marketing materials unless the Customer opts out in writing.

Force Majeure

Inveon is not liable for failures caused by outages in major AI model providers (e.g., OpenAI, Anthropic) or cloud infrastructure providers.

Entire Agreement

This document constitutes the entire agreement between the parties regarding the use of Inveon.ai.
